These Terms of Service ("Terms") govern your access to and use of the website getelitesalesforce.com (the "Site") and the services provided by Elite Sales Force ("Company," "we," "us," or "our"). By accessing or using our Site or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our Site or services.
1. Services Overview
Elite Sales Force provides managed outsourced sales services, including but not limited to Sales Development Representative (SDR) teams, Account Executive services, and appointment setting. Our services are designed for businesses seeking to outsource all or part of their sales operations.
Specific service deliverables, timelines, pricing, and terms are defined in individual service agreements or statements of work executed between Elite Sales Force and each client. These Terms apply in addition to any such agreements.
2. Eligibility
By using our Site or engaging our services, you represent that:
- You are at least 18 years of age
- You have the legal authority to enter into a binding agreement
- If acting on behalf of a business entity, you have the authority to bind that entity to these Terms
- Your use of our Site and services complies with all applicable laws and regulations
3. Use of the Website
Permitted Use
You may use our Site for lawful purposes related to learning about, evaluating, or engaging our services. You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law
- Attempt to gain unauthorized access to any part of the Site, other accounts, or computer systems
- Use any automated system, including bots or scrapers, to access the Site without our express written permission
- Interfere with or disrupt the integrity or performance of the Site
- Reproduce, distribute, or create derivative works from Site content without our written consent
Account Information
If you submit information through our Site (such as contact forms or scheduling requests), you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of any information you provide.
4. Service Agreements
Engagement Terms
All outsourced sales services are governed by a separate service agreement executed between Elite Sales Force and the client. These service agreements define specific terms including:
- Scope of services and deliverables
- Pricing, payment terms, and billing frequency
- Service duration and renewal terms
- Cancellation and termination provisions
- Performance expectations and reporting commitments
Month-to-Month Services
Unless otherwise specified in a service agreement, our services are provided on a month-to-month basis. Either party may terminate services with 30 days written notice. Upon termination, the client remains responsible for payment of services rendered through the effective termination date.
Performance and Results
While we strive to deliver meaningful results for every client, sales outcomes are influenced by many factors beyond our control, including market conditions, product-market fit, pricing, competitive landscape, and the client's ability to close opportunities. We do not guarantee specific sales results, revenue amounts, or conversion rates unless explicitly stated in a written service agreement.
5. Payment Terms
Payment terms are outlined in individual service agreements. General payment terms include:
- Service fees are billed monthly in advance unless otherwise agreed
- Payment is due within the timeframe specified in the service agreement (typically upon receipt or net-15)
- Late payments may be subject to a late fee of 1.5% per month or the maximum rate permitted by law, whichever is lower
- Failure to make timely payment may result in suspension or termination of services
- All fees are non-refundable unless otherwise stated in the service agreement
6. Confidentiality
Both parties acknowledge that during the course of the engagement, they may receive or have access to confidential information belonging to the other party. "Confidential Information" includes, but is not limited to:
- Client business strategies, customer lists, and proprietary data
- Elite Sales Force sales methodologies, processes, and training materials
- Pricing terms and financial information
- Any information designated as confidential by either party
Each party agrees to protect the other party's Confidential Information with the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential Information shall not be disclosed to third parties without prior written consent, except as required by law or as necessary to perform the services.
7. Intellectual Property
Our Content
All content on our Site — including text, graphics, logos, design elements, images, and software — is the property of Elite Sales Force or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any Site content without our express written permission.
Client Materials
Any materials, data, or content provided by the client to Elite Sales Force for the purpose of delivering services ("Client Materials") remain the property of the client. We are granted a limited, non-exclusive license to use Client Materials solely for the purpose of performing the contracted services.
Sales Materials Created
Scripts, email sequences, messaging frameworks, and other sales materials created by Elite Sales Force during the course of an engagement are proprietary to Elite Sales Force unless otherwise specified in the service agreement. Clients are granted a license to use these materials for the duration of the engagement. Ownership and post-engagement usage rights may be negotiated and specified in individual service agreements.
8. Data Handling and Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
In the course of delivering sales services, we may access, process, or store prospect data, lead information, and CRM data on behalf of our clients. We handle all such data in accordance with our Privacy Policy, applicable data protection laws, and any additional data handling terms specified in the service agreement.
9. SMS / Text Messaging Terms
By providing your mobile phone number to Elite Sales Force through any of our intake channels (website forms, scheduling tools, sales conversations, or as part of an active engagement), you expressly opt in to receive recurring text (SMS) messages from Elite Sales Force.
- Program description: messages may include appointment confirmations, meeting reminders, sales follow-up, customer service responses, account notifications, and other service-related communications
- Message frequency: message frequency varies; you may receive messages based on the stage of your inquiry or engagement
- Carrier charges: message and data rates may apply, depending on your mobile carrier plan. Elite Sales Force is not responsible for such charges
- STOP: you may opt out of receiving text messages at any time by replying STOP to any message. You will receive a one-time confirmation that you have been unsubscribed, after which we will send no further messages unless you re-subscribe

- Supported carriers: all major U.S. carriers including AT&T, T-Mobile, Verizon, Sprint, U.S. Cellular, and others. Carriers are not liable for delayed or undelivered messages
- Not a condition of purchase: your consent to receive text messages is not a condition of purchase of any goods or services from Elite Sales Force
- No third-party sharing of opt-in data: mobile information — including phone numbers and consent data — will not be shared with third parties or affiliates for marketing or promotional purposes

10. Representations and Warranties
Elite Sales Force represents and warrants that:
- We will perform services in a professional and workmanlike manner consistent with industry standards
- Our team members will be properly trained and qualified to perform the assigned tasks
- We will comply with all applicable laws and regulations in the performance of our services
Except as expressly stated in these Terms or in a service agreement, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the maximum extent permitted by applicable law:
- Elite Sales Force shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, regardless of the cause of action
- Our total aggregate liability for any claims arising out of or related to these Terms or our services shall not exceed the total fees paid by the client to Elite Sales Force during the three (3) months immediately preceding the event giving rise to the claim
- We are not liable for the actions or performance of third-party tools, platforms, or services used in connection with our services
12. Indemnification
You agree to indemnify, defend, and hold harmless Elite Sales Force, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your violation of these Terms
- Your use of our Site or services
- Any content or data you provide to us that infringes on the rights of a third party
- Any misrepresentation made by you regarding your authority, eligibility, or the accuracy of information provided
13. Termination
We may suspend or terminate your access to our Site at any time, with or without cause, and with or without notice. For service engagements, termination is governed by the applicable service agreement and the month-to-month provisions described in Section 4.
Upon termination of services:
- All outstanding fees become immediately due and payable
- Client Materials and data will be returned or deleted in accordance with the service agreement and our Privacy Policy
- Confidentiality obligations survive termination
- Sections regarding intellectual property, limitation of liability, indemnification, and governing law survive termination
14. Dispute Resolution
Any disputes arising out of or related to these Terms or our services shall first be addressed through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.
The arbitration shall be conducted in the United States, and the decision of the arbitrator shall be final and binding. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought in the federal or state courts located in Delaware.
16. Miscellaneous
- Entire Agreement — These Terms, together with our Privacy Policy and any applicable service agreements, constitute the entire agreement between you and Elite Sales Force regarding the subject matter herein
- Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect
- Waiver — Failure by Elite Sales Force to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
- Assignment — You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction
- Force Majeure — Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemics, or internet service disruptions
17. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of our Site or services after changes are posted constitutes acceptance of the revised Terms. We encourage you to review this page periodically.
